Welcome to SubEye ("Service," "Platform," "we," "us," or "our"), operated by PE Yehor Hunko ("Operator"). These Terms of Service ("Terms") govern your access to and use of the SubEye application, including all related websites, APIs, push notification services, and any other software or services offered by us in connection with any of the foregoing (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.
1. Definitions
- "User" or "you" means any natural person who creates an account and uses the Service.
- "Subscription Data" means any information you provide regarding your third-party subscriptions, including but not limited to subscription names, costs, billing periods, payment dates, categories, notes, and associated brand domains.
- "User Preferences" means configurable settings such as preferred currency, timezone, notification schedule, and locale.
- "Paddle" means Paddle.com Market Limited (and its affiliates), our authorized Merchant of Record for payment processing.
2. Description of Service
SubEye is a subscription management and tracking platform that enables Users to:
- Track Subscriptions — Add, edit, and manage records of personal subscriptions, including cost, billing cycle, currency, category, and payment dates.
- Analytics & Insights — View dashboard analytics, monthly spending trends, cash flow projections, weekly renewal forecasts, and spending breakdowns by category and currency.
- Push Notifications — Receive optional browser-based push notifications for upcoming payment reminders and subscription renewals.
- Multi-Currency Support — Convert and display subscription costs in a preferred currency using exchange rate data.
- User Preferences — Customize currency, timezone, notification timing, and locale settings.
The Service is provided as a Progressive Web Application (PWA) and does not directly process, execute, or manage any actual payments to third-party subscription providers on your behalf, unless explicitly stated otherwise.
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must create an account through our authentication provider (Clerk). You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential.
3.2 Account Responsibility
You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. We shall not be liable for any loss or damage arising from your failure to comply with these obligations.
3.3 Age Requirement
You must be at least sixteen (16) years of age, or the minimum age required by applicable law in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this requirement.
4. Payments and Billing
4.1 Merchant of Record
All payments for paid features or premium plans offered through the Service are processed by Paddle.com Market Limited, acting as our Merchant of Record. Paddle handles all billing, invoicing, sales tax, VAT, and other applicable transaction taxes on our behalf. By purchasing any paid plan, you also agree to Paddle's Terms of Use and Privacy Policy.
4.2 Pricing and Fees
Applicable fees for premium features are displayed on the Service prior to purchase. All prices are inclusive of applicable taxes unless otherwise stated. We reserve the right to modify pricing with reasonable prior notice. Any price change will not affect active subscription periods already paid for.
4.3 Billing Cycle and Renewals
Paid plans are billed on a recurring basis (monthly or annually, as selected by you). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
4.4 Refund Policy
If you are not satisfied with your purchase, you may request a full refund within fourteen (14) days from the date of the transaction, no questions asked. To request a refund, please contact Paddle's support team through the receipt email you received at the time of purchase or via Paddle's contact page.
Refunds will be processed using the same payment method used for the original transaction. Please allow up to fourteen (14) business days for the refund to appear on your statement.
For subscription plans, refund eligibility applies to the initial purchase and is not available for subsequent automatic renewals. You may cancel your subscription at any time before the next billing date to avoid future charges.
All refund requests are processed by Paddle.com Market Limited as our Merchant of Record. For full details, please review Paddle's Terms of Use.
4.5 Free Tier
Certain features of the Service may be available free of charge. We reserve the right to modify, limit, or discontinue the free tier at any time, with reasonable notice to affected Users.
5. User Data and Privacy
5.1 Data You Provide
The Service collects and processes:
- Authentication data provided through Clerk (e.g., email, user ID, and public metadata such as preferences).
- Subscription Data that you voluntarily enter (subscription name, cost, currency, billing cycle, payment date, category, notes, and brand domain).
- Push notification subscription data (endpoint URL, encryption keys) if you opt in to push notifications.
- User Preferences (preferred currency, timezone, notification schedule, locale).
5.2 Data Processing
Your data is processed for the sole purpose of providing and improving the Service. We do not sell, rent, or share your personal data with third parties for marketing purposes. Data is shared only with:
- Clerk — for authentication and user management.
- Paddle — for payment processing (applicable only to paid features).
- Infrastructure providers — for hosting, database services, and scheduled workflow execution (e.g., QStash for notification scheduling).
5.3 Data Retention
Your Subscription Data and User Preferences are retained for as long as your account is active. Upon account deletion, your data will be permanently removed from our systems within thirty (30) days, subject to any legal retention obligations.
5.4 Data Protection
We implement industry-standard technical and organizational measures to protect your data, including encrypted connections (TLS), secure authentication, and access controls. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.
5.5 International Data Transfers
Your data may be processed and stored in jurisdictions outside your country of residence, including jurisdictions that may not provide the same level of data protection as your home jurisdiction. Where applicable, such transfers are conducted in compliance with the General Data Protection Regulation (GDPR), including the use of Standard Contractual Clauses (SCCs) or other lawful transfer mechanisms.
5.6 Your Rights
Subject to applicable law, you have the right to:
- Access, rectify, or delete your personal data.
- Restrict or object to certain processing of your data.
- Request data portability.
- Withdraw consent at any time (where processing is based on consent).
- Lodge a complaint with a supervisory authority.

6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to the Service, other user accounts, or related systems.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Transmit any malware, viruses, or other harmful code through the Service.
- Use automated scripts, bots, or scrapers to access or interact with the Service without our express written consent.
- Interfere with or disrupt the integrity or performance of the Service.
- Circumvent any security features, rate limits, or access controls implemented by the Service.
We reserve the right to suspend or terminate your account for violation of these terms.
7. Intellectual Property
7.1 Ownership
All rights, title, and interest in and to the Service, including all software, designs, text, graphics, and other content (excluding User-provided data), are and shall remain the exclusive property of SubEye and its licensors.
7.2 License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes.
7.3 User Content
You retain ownership of all Subscription Data and other content you submit to the Service. By submitting content, you grant us a limited license to process, store, and display such content solely to provide the Service to you.
8. Push Notifications
8.1 Opt-In Service
Push notifications are an optional feature. By enabling push notifications, you consent to receive browser-based notifications regarding upcoming subscription payments and renewals.
8.2 Notification Data
When you enable push notifications, the Service stores your push subscription endpoint and associated cryptographic keys. This information is used exclusively to deliver notifications to your device(s).
8.3 Opt-Out
You may disable push notifications at any time through the Service's settings or your browser settings. Upon disabling, your push subscription data will be removed from our systems.
9. Third-Party Services
9.1 External Integrations
The Service integrates with third-party providers including, but not limited to:
- Clerk (authentication)
- Paddle (payment processing)
- Exchange rate data providers (currency conversion)
- Brandfetch (brand logo and domain lookup)
- QStash (scheduled workflow execution)
9.2 Third-Party Terms
Your use of third-party services is subject to those services' respective terms and privacy policies. We are not responsible for the practices, content, or availability of third-party services.
10. Disclaimers
10.1 "As Is" Basis
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 No Financial Advice
The Service is a tracking and informational tool only. Nothing in the Service constitutes financial, investment, tax, or legal advice. Exchange rates displayed are approximate and provided for informational purposes only. You are solely responsible for your financial decisions.
10.3 Accuracy of Data
We do not guarantee the accuracy, completeness, or timeliness of exchange rates, analytics calculations, or any other data derived from information you provide. You acknowledge that analytics and spending projections are estimates based on the data you enter.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUBEYE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
WHERE LIABILITY CANNOT BE EXCLUDED BY LAW, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US (THROUGH PADDLE) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.
Nothing in these Terms excludes or limits liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded or limited under applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless SubEye and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of any third party.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and, where practicable, by sending a notification through the Service or to your registered email address. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree with the modifications, you must discontinue use of the Service.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SubEye operates, without regard to conflict of law principles.
14.2 Dispute Resolution
Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If a resolution cannot be reached within thirty (30) days, either party may submit the dispute to the competent courts of the jurisdiction in which SubEye is registered.
14.3 Consumer Rights
Nothing in these Terms shall affect your statutory rights as a consumer under the applicable laws of your jurisdiction, including but not limited to the EU Consumer Rights Directive, the General Data Protection Regulation (GDPR), and the Law of Ukraine "On Consumer Rights Protection."
15. Termination
15.1 Termination by You
You may terminate your account at any time by contacting us or using the account management features provided by the Service. Upon termination, your right to use the Service will cease immediately.
15.2 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we reasonably believe that you have violated these Terms or any applicable law.
15.3 Effect of Termination
Upon termination, all licenses granted to you under these Terms will immediately cease. Sections 7 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law) shall survive termination.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SubEye with respect to your use of the Service.
16.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16.3 Waiver
The failure of SubEye to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
By using SubEye, you acknowledge that you have read and understood these Terms of Service and agree to be bound by them.
